Terms of Service

WRSTOPIA, Inc. ("WRSTOPIA," "we," "us," or "our") welcomes you to use our Services. These Terms of Service ("Terms") govern your access to and use of the WRSTOPIA website, platform, applications, and related services operated by WRSTOPIA, Inc., a Delaware corporation (collectively, the "Services").

By accessing or using WRSTOPIA, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to be bound by these Terms, do not access or use the Services.

These Terms apply to all users of the Platform, including Consumers, Dealers, and visitors. Additional terms apply to specific transactions and roles as described below.

These Terms do not take precedence over the terms and conditions of the Dealer Platform Agreements or Dealer-to-Dealer Service Fulfillment Agreements with Dealers related to their use of our Services or Consumer Service Agreements with Consumers and Dealers related to each transaction. The Dealer Platform Agreements, Dealer-to-Dealer Service Fulfillment Agreements and Consumer Service Agreements control and take precedence in the event any terms are different or in addition to the terms contained herein.

1. About WRSTOPIA

WRSTOPIA operates a digital-first marketplace that connects watch owners ("Consumers") with verified dealers, watchmakers, and service centers ("Dealers") for luxury watch servicing, appraisals, and related services ("Watch Services") through our proprietary platform (the "Platform").

WRSTOPIA does not perform Watch Services itself. All servicing, appraisals, and physical work are performed by independent third-party Dealers. WRSTOPIA provides an online Platform to facilitate the transaction, manage payments through its Stripe Connect payment infrastructure (operated by Stripe, Inc.), coordinate shipping logistics, and maintain the Digital Service Passport record system. We reserve the right to modify, suspend or discontinue any aspect of the Services at any time with or without notice. You agree that we will not be liable to you or any third party for any modification, suspension or discontinuance of the Services or any portion thereof.

Important — WRSTOPIA's Role in Service Transactions: Unlike in some marketplace models, WRSTOPIA is a named party to each Consumer Service Contract executed through the Platform together with the Consumer and Dealer. WRSTOPIA has specific rights and obligations under those contracts, including with respect to payment processing and fund release direction through Stripe Connect, dispute resolution, maintenance of the Digital Service Passport, and Platform operations. This does not make WRSTOPIA a guarantor of Watch Service outcomes — see Section 15 for WRSTOPIA's limitation of liability.

Watch Services currently available through the WRSTOPIA Platform include:

  • Watch repair and servicing
  • Digital appraisals
  • Physical appraisals
  • Combined digital and physical appraisals
  • Digital Service Passport maintenance and service history documentation

Geographic Scope: The Watch Services are currently available only within the fifty (50) United States and the District of Columbia. The WRSTOPIA Platform does not accept or process service requests for watches shipped from or destined to addresses outside this geographic scope. WRSTOPIA reserves the right to expand availability or otherwise modify the geographic scope in the future.

2. Eligibility & Accounts

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this age requirement. If you are using the Services on behalf of an entity other than yourself, you represent that you are authorized by such entity to accept these Terms on such entity's behalf.

Certain features of the Services require you to create an account. During the registration process you will provide certain personal information. Once you create an account you will be provided with a unique username and password.

You are responsible for:

  • Providing accurate, current, and complete information when creating your account and submitting service requests
  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying WRSTOPIA immediately at legal@wrstopia.com if you suspect unauthorized access to your account
  • Using the Services only in compliance with our standard published policies then in effect and all applicable laws and regulations

We will not be liable for any loss or damage arising from your failure to comply with these responsibilities.

WRSTOPIA reserves the right to actively monitor access to the Services and may, in our sole discretion, immediately revoke the rights granted herein, remove access to the Services and suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent or abusive activity on the Platform.

By registering an account to use the Services, you expressly consent and agree to accept and receive communications from us, including via e-mail, text message, calls, and push notifications to the cellular telephone number you provided to us. You also consent to receiving communications from WRSTOPIA and Dealers in connection with the Services.

3. Roles on the Platform

WRSTOPIA supports multiple user roles with different permissions and obligations:

  • Consumers: Watch owners requesting services or appraisals through the Platform
  • Dealers / Service Centers: Businesses providing watch repair, service, or appraisal through the Platform, subject to a separate Dealer Platform Agreement
  • Watchmakers: Individual professionals submitting offers and performing work, subject to a separate Dealer Platform Agreement
  • Administrators: WRSTOPIA staff managing and operating the Platform
  • Visitors: Individuals visiting our website

Dealers must execute a Dealer Platform Agreement with WRSTOPIA before providing Watch Services through the Platform. That agreement governs the full scope of their obligations, including non-solicitation obligations, insurance requirements, acceptance rate standards, and Platform conduct. By accepting a service request through the Platform, Dealers additionally enter into a Consumer Service Contract with the Consumer and WRSTOPIA.

4. Service Requests & Offers

  • Consumers may submit service requests through their account on the Platform at no charge. Submitting a request does not obligate the Consumer to proceed with a transaction.
  • Dealers may submit initial offers based on the information provided by a Consumer. All initial offers are preliminary estimates, not guaranteed final prices.
  • Consumers are not required to accept any initial offer.
  • WRSTOPIA does not guarantee offer availability, response times, or pricing.
  • Because watches typically must be opened for physical inspection before a final price can be confirmed, initial offers may be revised after inspection. See Section 6 for the revised pricing process.

5. Selecting a Dealer & Payment

Once a Consumer selects a Dealer and accepts a Final Estimate:

  • The Consumer proceeds to secure checkout through the Platform
  • Payment is processed through WRSTOPIA's Stripe Connect payment infrastructure, operated by Stripe, Inc.
  • Funds are held by Stripe on WRSTOPIA's behalf pending completion and Consumer acceptance of the Service — WRSTOPIA does not itself hold Consumer funds
  • WRSTOPIA does not store full payment card details
  • WRSTOPIA directs Stripe to release funds to the Dealer upon Consumer confirmation of satisfactory completion, or automatically after five (5) business days following delivery to Consumer if no dispute is raised

WRSTOPIA charges a Platform commission of 15% of the gross transaction amount for each completed service order, which is automatically withheld from the payment before disbursement to the Dealer. This commission structure is set forth in the Dealer Platform Agreement.

6. Estimates & Revised Pricing

Because watches must often be physically opened and inspected before the full scope of required work can be determined:

  • Initial offers are estimates only and are not binding final prices
  • After physical inspection, Dealers will submit a final estimate detailing the specific services, parts, and the total cost ("Final Estimate")
  • Consumers must approve the Final Estimate and enter into a binding Consumer Service Agreement for the transaction before any work begins
  • If additional issues are discovered after work has begun, Dealers must submit a revised estimate and obtain Consumer approval before proceeding
  • Consumers may decline a Final Estimate or revised estimate and request their watch returned, subject to any applicable diagnostic or return shipping fees disclosed at checkout
  • No work beyond the approved scope may be performed without Consumer approval

7. Shipping & Drop-Off

Consumers may choose insured shipping (recommended) or in-person drop-off where available.

When using WRSTOPIA-provided shipping:

  • Shipping is insured up to the amount disclosed at checkout for that service order
  • Tracking information will be provided
  • Risk of loss transfers to WRSTOPIA's carrier upon confirmed pickup and scan by the carrier
  • Consumer bears risk of loss prior to carrier pickup and after delivery to Consumer
  • High-value timepieces may require special shipping procedures as directed by WRSTOPIA

WRSTOPIA is not responsible for shipping arrangements made outside the Platform. Consumers who ship watches independently or use unapproved couriers forfeit shipping insurance coverage and related protections. Full shipping terms, insurance limits, and risk allocation are governed by the Consumer Service Contract.

8. Service Status Updates & Tracking

WRSTOPIA provides status updates for the Watch Service through the Platform, which may include:

  • Watch shipped
  • Watch received
  • Watch opened / under inspection
  • Final Estimate issued — awaiting Consumer approval
  • Watch Service in progress
  • Watch Service completed — awaiting Consumer confirmation
  • Watch returned or ready for pickup

Status updates are informational and based on Dealer input. WRSTOPIA does not independently verify each status milestone but takes reasonable steps to maintain accurate records in the Digital Service Passport.

9. Digital Service Passport

WRSTOPIA maintains a Digital Service Passport for each watch serviced through the Platform. The Digital Service Passport is a permanent digital record that contains service history, parts information, technician records, appraisal data, warranty expiration dates, and service dates.

Consumers may view their watch's Digital Service Passport through their Platform account at any time. Consumers may choose to share or transfer the Digital Service Passport record to a new watch owner through the Platform to support transparency and resale value.

Important: Deletion of an account does not remove the Digital Service Passport associated with watches serviced through the Platform. Digital Service Passport data is tied to the watch, not the account, and is retained indefinitely as part of the watch's permanent record.

10. Appraisals

Consumers may purchase digital appraisals, physical appraisals, or combined digital and physical appraisals through the Platform.

Appraisals are professional opinions of value based on the information available at the time of the appraisal. Appraisals are not guarantees of resale price or insurance coverage. WRSTOPIA does not guarantee that any third party — including insurance carriers, buyers, or auction houses — will accept or rely on an appraisal provided through the Platform. Consumers should consult with relevant third parties regarding their specific acceptance requirements before commissioning an appraisal for a particular purpose.

11. Limited Warranty; Disclaimer of Warranties

(a) Limited Warranty

All Watch Service performed through the Platform is covered by a standard 24-month (730-day) limited warranty on workmanship and genuine parts, beginning on the date the Watch Service is completed and the watch is ready for return to the Consumer. This limited warranty is mandatory for each Dealer and is included in every Consumer Service Contract executed through the Platform.

The 24-month limited warranty does not cover:

  • Accidental damage or misuse after the watch is returned
  • Normal wear and tear
  • Damage caused by Consumer's failure to follow service recommendations
  • Issues unrelated to the specific service performed
  • Watch Services performed using non-genuine parts where the Consumer was notified and approved their use (in which case warranty coverage for those components may be limited)

The limited warranty terms, including the claims procedure, are set out in the Consumer Service Contract. The limited warranty is non-transferable and applies only to the Consumer who is a party to the applicable Consumer Service Contract.

(b) Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, WRSTOPIA EXPRESSLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES OR GUARANTEES OF ANY KIND WHATSOEVER, WHETHER ORAL OR WRITTEN, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT REGARDING THE SERVICES AND ALL CONTENT, FUNCTION AND MATERIALS THEREIN. THE SERVICES ARE PROVIDED "AS-IS" AND "AS AVAILABLE" WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, EVEN IF THE LIMITED REMEDY IN THESE TERMS HAS BEEN FOUND TO FAIL ITS ESSENTIAL PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DO NOT MAKE ANY WARRANTIES OR REPRESENTATIONS (i) THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR YOU WILL ACHIEVE ANY SPECIFIC RESULTS FROM USE OF THE SERVICES, (ii) THAT THE OPERATION OF THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE SERVICES OR THE SERVER THAT MAKES THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR ANYTHING ELSE HARMFUL TO YOUR COMPUTER SYSTEM, (iii) THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED, OR (iv) REGARDING THE USE OF OR CONTENT IN THE SERVICES IN TERMS OF THEIR QUALITY, ACCURACY, ADEQUACY, TIMELINESS, COMPLETENESS, USEFULNESS, RELIABILITY OR OTHERWISE.

YOU UNDERSTAND AND EXPRESSLY AGREE THAT YOU USE THE SERVICES AT YOUR OWN RISK, AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR YOUR USE AND ANY DAMAGE TO YOUR MOBILE DEVICE, COMPUTER SYSTEM OR ANY OTHER DEVICE IN WHICH YOU ACCESS THE SERVICES, LOSS OF DATA OR OTHER HARM OF ANY KIND THAT MAY RESULT. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THEM.

12. Parts Integrity & Documentation

All Dealers on WRSTOPIA are contractually obligated under the Dealer Platform Agreement to:

  • Use only genuine, original parts authorized by the watch manufacturer for all repairs
  • Obtain advance written approval before using any non-genuine or aftermarket parts, and disclose such use to the Consumer prior to installation
  • Provide full documentation of all parts used and work performed
  • Record all service details in the Digital Service Passport

Dealers who violate the parts integrity standards are subject to suspension or removal from the Platform and may be liable for resulting damages under the Dealer Platform Agreement and Consumer Service Contract.

13. Dealer & Watchmaker Obligations

By registering on and using the Platform, all Dealers agree to:

  • Provide accurate and complete business information
  • Maintain all required professional licenses, certifications, and insurance (including general liability insurance of at least $1,000,000 per occurrence and $2,000,000 in the aggregate, naming WRSTOPIA as an additional insured)
  • Follow WRSTOPIA's integrity standards and Platform policies
  • Maintain an acceptance rate of at least 90% for valid service requests
  • Keep availability and scheduling information accurate
  • Link external reviews truthfully if external review platforms are connected
  • Not solicit Platform customers for off-Platform services during the term of the Dealer Platform Agreement and for 24 months following its termination
  • Comply with all applicable laws, rules and regulations, including data privacy, consumer protection, and anti-fraud laws

WRSTOPIA may suspend or remove Dealers who fail to meet these standards. Full Dealer obligations are set out in the Dealer Platform Agreement, which each Dealer must execute before providing Watch Services through the Platform.

14. Dispute Resolution & Arbitration

a. Good Faith Negotiation

Before initiating formal dispute resolution, the party raising a dispute must provide written notice to the other party describing the nature of the dispute and the desired resolution. The parties agree to attempt to resolve the dispute through good faith negotiation for a period of thirty (30) days following that notice. This informal resolution requirement applies to all disputes between Consumers, Dealers, and WRSTOPIA.

b. Binding Arbitration

If a dispute is not resolved through negotiation within thirty (30) days, it shall be finally resolved by binding individual arbitration administered by JAMS under its applicable arbitration rules (Consumer Arbitration Rules if the claimant is an individual Consumer; Commercial Arbitration Rules for business-to-business disputes). The arbitration shall be conducted in New York City, New York, or by videoconference by mutual agreement. The arbitrator's decision shall be final, binding, and enforceable in any court of competent jurisdiction.

c. Class Action Waiver

YOU AND WRSTOPIA EACH WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, MASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. All disputes must be brought on an individual basis only. This waiver is a material inducement to WRSTOPIA providing the Services. If this waiver is found unenforceable, the agreement to arbitrate in Section 14(b) shall be null and void and disputes shall be resolved in court.

d. Exceptions to Arbitration

Notwithstanding the above, the following are not subject to mandatory arbitration: (i) claims that qualify for small claims court in the Consumer's jurisdiction, provided the action remains in that court; (ii) requests for emergency injunctive or equitable relief to prevent imminent and irreparable harm pending arbitration; and (iii) actions by WRSTOPIA or a Dealer to collect an undisputed debt. Either party may seek emergency injunctive relief from a court of competent jurisdiction without waiving the right to arbitrate the underlying dispute.

e. Arbitration Costs

Payment of filing, administration, and arbitrator fees will be governed by the applicable arbitration rules. Each party shall bear its own fees relating to arbitration including, without limitation, reasonable attorneys' fees unless the arbitrator finds a claim or defense was frivolous or made in bad faith, or unless applicable law requires otherwise.

f. Governing Law

These Terms and all disputes arising from or related to them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. The Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement in Section 14(b).

g. Jurisdiction for Court Proceedings

For any dispute not subject to arbitration, or to enforce or challenge an arbitration award, or to seek emergency injunctive relief, the parties consent to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware. Each party waives any objection to venue or personal jurisdiction in those courts.

h. Watch Service Transaction Disputes

Disputes arising from a specific service transaction are also governed by the dispute resolution provisions of the applicable Consumer Service Contract. Where those provisions conflict with this Section 14, the Consumer Service Contract shall control for that specific transaction.

15. Platform Limitations & Limitation of Liability

(a) Platform Limitations

WRSTOPIA operates the Platform and facilitates transactions between Consumers and Dealers. With respect to the quality and outcome of Watch Services:

  • WRSTOPIA does not guarantee specific Watch Service outcomes, repair timelines, or appraisal valuations
  • WRSTOPIA is not responsible for actions taken by Consumers or Dealers outside the Platform
  • WRSTOPIA does not guarantee third-party acceptance of appraisals for insurance, resale, or any other purpose

(b) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WRSTOPIA AND ITS AFFILIATES, AND EACH OF ITS AND THEIR RESPECTIVE DIRECTORS, OFFICERS, MANAGERS, EMPLOYEES, CONTRACTORS, SHAREHOLDERS, AGENTS, REPRESENTATIVES, LICENSORS, SUCCESSORS AND ASSIGNS WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, PUNITIVE, EXEMPLARY, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR ANY OTHER DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF REVENUE OR ANTICIPATED PROFITS, LOST BUSINESS, GOODWILL, BUSINESS INTERRUPTION, ERROR OR INTERRUPTION OF USE OR FOR LOSS OR INACCURACY OR CORRUPTION OF DATA OR COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES OR TECHNOLOGY OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF, OR RESULTING FROM: (i) YOUR USE OF, OR INABILITY TO USE, THE SERVICES; (ii) THE ACTIONS OR INACTIONS OF ANY USER YOU CONNECT WITH VIA THE SERVICES; (iii) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (iv) ANY OTHER MATTER RELATING TO THE WATCH SERVICES, THESE TERMS OR ANY OTHER SERVICES PROVIDED BY WRSTOPIA OR ANY DEALER.

EXCEPT AS OTHERWISE PROVIDED IN THESE TERMS, YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SERVICES. IF WRSTOPIA IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH IS IN ANY WAY CONNECTED WITH YOUR USE OF THE SERVICES, OUR LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU THROUGH THE PLATFORM FOR THE RELEVANT WATCH SERVICE; OR (B) USD $100.00 IN THE AGGREGATE. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

This section limits our liability and reflects an informed voluntary allocation of risk; such allocation represents a material part of these Terms. You agree that the limitations of liabilities set out in these Terms are fair and reasonable in the circumstances.

16. Intellectual Property, License & Platform Data

a. Ownership of Intellectual Property

(i) Ownership. The Services, including any and all web applications, mobile applications, browser extensions, digital forms, tools, features, branding, content (other than your content), Platform Data, data compilations, metadata, design, text, graphics, images, audio, video, organization, compilation, look and feel, source, object and HTML code, technology, software, and all other protectable intellectual property available through the Platform (the "Proprietary Materials"), together with any associated intellectual property rights, are the sole and exclusive property of WRSTOPIA or our licensors and are protected by copyright, trademark, trade secret and other intellectual property laws. These Terms do not constitute a sale and do not convey to you any rights of ownership in the Proprietary Materials. All rights not expressly granted are reserved by us.

(ii) Restrictive Legends. You shall not remove or permit any third party to remove any proprietary rights legend from the Proprietary Materials.

(iii) Trademark Usage. Our company name, service names and associated logos are trademarks of WRSTOPIA, and you agree not to use or display them in any manner without WRSTOPIA's prior written permission.

(iv) Feedback. You agree that submission of any ideas, suggestions, documents, and/or proposals to us ("Feedback") is at your own risk and that we have no obligations (including confidentiality) with respect to such Feedback. You hereby grant us a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable license to use, reproduce, and otherwise exploit any Feedback.

b. Limited License and Restrictions

(i) Limited License. Subject to your compliance with these Terms, WRSTOPIA grants you a limited, personal, revocable, non-exclusive and non-transferable license to access and use the Services for your personal or internal business purposes during the Term.

(ii) Restrictions. You agree that you will not: (A) download, copy, alter, modify, translate, or create derivative works based on the Services; (B) attempt by de-compilation, reverse-engineering, or any other method to derive source code or underlying structure; (C) remove copyright or proprietary rights notices; or (D) license, sublicense, publish, sell, market, rent, lease, transfer or otherwise commercially exploit the Services.

(iii) Connectivity; Equipment. You are solely responsible, at your own expense, for the hardware and communications services required to access and use the Services.

c. User Content

(i) User Content. You are entirely responsible for all content that you submit, upload, post, e-mail, transmit or otherwise make available through the Services. WRSTOPIA does not claim ownership of your content. Subject to the Privacy Policy, you grant us a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive and fully sublicensable license to use, distribute, reproduce, modify, publicly perform, and publicly display your content for the purposes of providing the Services. You represent and warrant that (A) you have the authority to grant this license, (B) such content is accurate and complete, and (C) it does not infringe any third party rights.

(ii) User Interactions. You are solely responsible for your interactions with other users; we may, but are not obligated to, intercede in disputes among users.

(iii) Content Provided by Other Users. We do not control, review, or endorse user content. You use it at your own risk.

(iv) Data Retrieval. Users will have access via the Platform to content and data created by or regarding such user for up to five years after creation.

d. Platform Data; Consent

(i) Definition. "Platform Data" includes Digital Service Passport records, service histories, transaction data, Consumer data, and aggregated analytics created in connection with the Platform.

(ii) Consent. Your use of the Services constitutes consent to WRSTOPIA's collection, maintenance, and use of Platform Data as described in these Terms and the Privacy Policy.

e. Rules of Conduct

You may use the Services only for lawful purposes in accordance with these Terms. WRSTOPIA specifically prohibits any use of the Services for, and you agree not to use the Services for, any of the following:

  • Any unlawful or fraudulent purpose, or violation of applicable law
  • Uploading or transmitting unlawful, harmful, threatening, abusive, defamatory, harassing, obscene, libelous, or otherwise objectionable material
  • Transmitting content that infringes any copyright, trademark, intellectual property, trade secret, privacy or publicity right
  • Soliciting, collecting or posting personal data about other users
  • Stalking or harassing another user or our employees
  • Accessing or attempting to access another user's account

  • Using the Services to design or build a competitive product or service
  • Impersonating any person or entity
  • Interfering with or disrupting the Services, servers, or networks
  • Removing proprietary notices or circumventing technological measures that control access

f. Security Rules

Violations of our system or network security may result in civil or criminal liability. You are prohibited from violating or attempting to violate the security of the Platform, including: using automated scripts, bots, scrapers, or crawlers; introducing viruses or other harmful code; accessing data not intended for you; probing, scanning, or testing the vulnerability of our system; or forging headers or manipulating identifiers.

g. Notice of Copyright Infringement

If you believe that your copyrighted work has been copied, posted or distributed through the Services in a manner that constitutes copyright infringement, please provide our copyright agent with a written notice containing: a description of the copyrighted work; a description of the allegedly infringing material and its location; your contact information; a good-faith statement that the use is not authorized; a statement under penalty of perjury that the information is accurate and that you are authorized to act on behalf of the copyright owner; and your electronic or physical signature.

17. Electronic Acceptance & Records

Your click-through acceptance of these Terms, the Consumer Service Contract, or any other agreement presented through the Platform — including the recorded timestamp, IP address, and document version number — constitutes a valid and legally binding signature with the same legal effect as a handwritten signature pursuant to the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). You consent to the use of electronic records and signatures in connection with your use of the Platform.

18. Force Majeure

Neither WRSTOPIA nor any Dealer shall be liable for any failure or delay in performing its obligations (except payment obligations already accrued) if such failure or delay is caused by events beyond its reasonable control and without its fault or negligence, including acts of God, natural disasters, pandemics, governmental actions, power or internet outages, cyberattacks, civil unrest, labor disputes, or carrier failures. The affected party shall promptly notify the other party of the force majeure event and its expected duration. If a force majeure event affecting WRSTOPIA's Platform operations continues for more than sixty (60) days, either party may cancel any affected service order without liability.

19. Termination

WRSTOPIA may suspend or terminate your access to the Services at any time, with or without notice, for violations of these Terms, misuse of the Platform, fraudulent activity, failure to pay amounts owed, or any other conduct that WRSTOPIA reasonably determines to be harmful to the Platform, its users, or third parties.

Dealers are subject to additional suspension and termination provisions under the Dealer Platform Agreement, including a 48-hour notice requirement and a formal investigation process for contested suspensions.

Upon termination, your right to use the Services ceases immediately. Any pending service transactions that were in progress prior to termination will be handled in accordance with the applicable Consumer Service Contract. All licenses and rights granted to you will immediately cease, and any provisions that by their nature should survive termination will survive and be enforceable.

20. Privacy

Your use of the Platform is also governed by WRSTOPIA's Privacy Policy, available at wrstopia.com/privacy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and share your personal information, including your rights under applicable state privacy laws. Please review the Privacy Policy carefully.

21. Changes to These Terms

WRSTOPIA may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last Updated" date at the top of these Terms, posting a notice on the Platform, or sending you an email or in-app notification. Your continued use of the Services after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Services.

22. Miscellaneous

a. Entire Agreement

These Terms, together with the Privacy Policy and any applicable Consumer Service Contract or Dealer Platform Agreement, constitute the entire agreement between you and WRSTOPIA regarding the Services and supersede all prior agreements, representations and understandings relating to the same subject matter, whether oral or written.

b. Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

c. No Waiver

WRSTOPIA's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

d. Assignment

You may not assign or transfer your rights under these Terms without WRSTOPIA's prior written consent. WRSTOPIA may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, upon notice to you.

e. Independent Contractors

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and WRSTOPIA.

f. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify and hold WRSTOPIA, its affiliates, and each of its and their respective directors, officers, managers, employees, contractors, shareholders, agents, representatives, licensors, successors and assigns harmless from and against any and all claims, liabilities, demands, damages, losses, judgments, costs and expenses of any nature whatsoever, including court costs and reasonable attorneys' fees, in any way arising from, related to or in connection with (i) your access, use or misuse of the Services, (ii) your violation of these Terms, or (iii) the submission, posting or transmission of any content or materials on or through the Services by you.

g. Third Party Websites, Products and Services

The Services may link to or promote websites, products and/or services from third parties. We are not responsible for, and do not review, examine or control, those websites or any third-party products or services. Your use of a third-party product, service or website will be subject to such third party's terms and privacy policy. In no event shall we be liable for any loss or damage arising from any linked third-party websites or the information, products, or services offered through them.
